MEMORANDUM OF ASSOCIATION

 OF

MOVEMENT for ACCOUNTABILITY to PUBLIC

(MAP)

 

1.                  NAME: The name of the Organisation will be “Movement for Accountability to Public” and in the abbreviated form MAP.

 

2.                  Registered Office of the ‘Movement for Accountability to Public’ (abbreviated and hereinafter referred to as MAP) shall be located in the National Capital Territory of Delhi and at present it will be at Industrial Shed No. Z-12 (Mangolpuri-180), Mangolpuri Industrial Area, Main Outer Ring Road, New Delhi-110083. It may be changed as and when necessary.

 

3.         Area of Operation: It will be an All-India Organisation.

 

4.         Financial Year:   Financial year of the Organisation will be from 1st April to 31st March, of the succeeding year.

 

5.         AIMS & OBJECTES:

It will be a Non-political Socio-cultural Organisation with the purpose and mission to educate the general public and to develop a concept that "People Serve People" by promoting well being of the people, propagating to develop a vibrant democratic, administrative and judicial system, ‘Accountable to Public’, to ensure good governance, based on basic principles, as given below, which are necessary for a vibrant democracy, involving members of the local community, with a view to establish linkages between those who are committed to build a bright future for the entire community as one family, bring in to focus to help and meet the ever-increasing needs of community, and even to meet new needs and greater demands, without compromising the basic tenets of the Mission, which are as follows:

(1)     Truth shall prevail;

(2)     Justice must be in the forefront;

(3)     Reins of the powers should be in the hands of the people;

(4)     Unity, based on self reliance, self respect and self restraint amongst the people must be the supreme object;

(5)     Each one, inclusive of any Constitutional Authority should be accountable before the law and system, irrespective of his/her status or position;

(6)     Justice delivery system should be easy, affordable and within reasonable time;

(7)     In the Electoral Process, value should be given to the Voters not to the Voting;

(8)     Individualized Politics should not be allowed at any level and at any cost;

(9)     Promotions (upward scaling in ladder) of the Politicians should be based on experience, competency and performance;

(10)  Distribution of the benefit of the progress and economic betterment of the country should be horizontal;

(11)  System should not leave any scope to allow any means to discriminate one to protect the powerful using skills or expertise.

(12)  A citizen should be debarred from partaking in the democratic process, if he does not follow the aforesaid principles in letter and sprit.

 

6.                   MEANS & METHODS:

For furtherance of all or any of the aforesaid objects, the Society shall have authority:-

(1)    to set-up MAP clubs;

(2)    to organise the Seminars, Debates, Conferences, training program etc. with a view to educate the general public and also to help in the policy formation at different levels of the Government;

(3)    to organize mass contact programs by undertaking padyatras and or otherwise through other means to bring awareness amongst the general public;

(4)    to publish Newspapers and or to bring out Posters, Pamphlets and other Publicity materials including the use of the Electronic Media / Internet etc.;

(5)    to organize Training Camps, Workshops, Refresher Courses etc.;

(6)    to raise funds from Public at large by way of donations, contribution, subscription, fee etc, and also to give donations, gifts, contributions to organizations, groups of persons and or persons engaged in similar activities;

(7)    to receive grants-in-aid from the Government, Semi-Government, Business Houses, Corporate Bodies, Voluntary Organisations and or from the General Public;

(8)    to receive funds from foreign donors as per rules and within the framework of Guidelines issued by the Government from time to time;

(9)    to acquire by allotment from the government(s), gifts, purchases, exchange, lease, hire or otherwise howsoever, any land, buildings, easements and any property movable and or immovable and for any estate or interest;

(10)to build, construct or maintain houses, structures or buildings and alter extend improve, repair enlarge or modify the same including any existing buildings (and to provide and equip the same with light, water, drainage, furniture, fittings, instruments, apparatus and appliances) and all other necessities for the use to which such building(s) is to be put up or held;

(11)                        to sell, manage, transfer, exchange, mortgage, demise, lease or let out, dispose of or otherwise deal with the movable or immovable properties belonging to the Society; 

(12)to open Bank Accounts and to invest in securities, as and when required;

(13)to do and or engage in all such other activities which are ancillary in furtherance to the cause of the aforesaid objects.      

 

7.         Non-profit Organisation:

Any Income or Profit of the Society shall be utilized in the furtherance of the aforesaid objects of the Society and shall not be distributed amongst the members, provided that nothing herein contained shall prevent the payment in good faith or remuneration of any members thereof or any person in return for any service rendered to MAP or for traveling allowance, halting or similar other charges.      

Rules & Regulation

 OF

MOVEMENT for ACCOUNTABILITY to PUBLIC

(MAP)

(In conformity with the Societies Registration Act XXI of 1860)

These Rules and Regulations are prepared for the management of the Movement for Accountability to Public (MAP) in the context of its aims, objectives and purposes.

1.         Definition

(1) Society Means ‘Movement for Accountability to Public’, in short abbreviated form MAP;

(2) Member means any category of Member as described hereinafter;

(3) Office Bearers means the President, Vice-Presidents, Chairman /Vice-Chairman, General Secretary/ Secretary, Treasurer etc. and other Members of the Executive Committee/Sub-Committee etc., of the Society;

(5) Words importing the ‘Masculine’ gender and singular number shall respectively include the ‘feminine gender’ and ‘Plural number’ and vice versa.  

(6) Corpus Fund means Fund which is deposited or invested in secured mode, and which no Office Bearer of MAP is empowered to use for any expenditure or any other purposes, under any circumstances.

(7) Fund means including the receivable as Application fees from Members of all categories; Interests or Income arrived against Corpus Fund, and all other receivables.  

 

2.         Membership of the Movement for Accountability to Public (MAP)

A.         Any person male or female, having attained 18 years of age, having Email ID, would be qualified for membership and who agrees to abide by and strive for attainment of the aims and objects of Movement for Accountability to Public (MAP) and could be admitted after signing the prescribed Application form, to any of the following types of memberships of the Society, provided he is dedicated to constructive work and believes in the aims and objects as specifically mentioned in the Bye-laws as aforesaid and willing to serve in the field in future and contribute as membership fee and Application fee as described below.

B.    The Membership shall be of the following categories of Members:-  

(1)  Founder Members: Who adopts and sign this Bye-Law of the MAP, before its Registration. He shall be either a Patron Member or a Life Member or an Associated Life Member.

(2) Patron Members: Any person who contributes Rs.11,000/- (Rupees Eleven Thousands) or more as membership fee and Rs.1,000/- as Application fee.

(3)  Life Members: Any person who contributes Rs.2,000/- (Rupees One Thousand) plus Rs.500/- (Rupees One Hundred) as Application Fee.

(4) Associated Life Members: Any person who contributes Rs.1,000/- (Rupees One Thousand) plus Rs.200/- (Rupees Two Hundred) as Application Fee.

(5)  Ordinary Members: Annual Fee Rs.100/- (Rupees One Hundred) plus Rs.100/- (Rupees One Hundred) as Application Fee. 

(6)  NRI/PIO Members: One time Payment of US$250 (Two Hundred Fifty US Dollars: Equal to be in Indian Currency on the day of deposit in Bank) as Life Time NRI/PIO Membership Fee plus US$10 (Ten US Dollars) as Application Fee or its equivalent in any other currency. (7)  MAP CLUB MEMBERS: It is separately described in clause No. 5, and Membership of Club Members shall be open for all those who even may not have any Email ID. 

 

3.         Cessation and or Termination of the Membership

A person shall cease to be a member of the Movement for Accountability to Public (MAP), if any of the following grounds exist:

(1) on his death;

(2) on his resignation in writing and after being accepted at appropriate level;

(3) on his being mentally disabled or incapacitated to enter into contractual obligation;

(4) on his failure to pay subscription within the due period;

(5) on being declared insolvent and or being convicted for any criminal offence, by the appropriate Court;

(6) When any Member does not participate in Voting Process for National Council for consecutive Three Terms, his Membership shall seize automatically;

(7) If an Executive Committee Member fails to attend three consecutive Executive Committee Meetings, without taking leave for the same, his Membership shall seize automatically; and

(8) Any person whose activities are considered to be detrimental to the objects of the society. Such person can be suspended by the National President and then a Show Cause Notice shall be served upon him and final decision shall be taken by the respective Executive Committee.

 

4.01     Corpus Fund:

(1) There shall be a Corpus Fund of the MAP.

(2) After the Application, all receipts on account of membership Fees received from the Patron Members; Life Members; Associated Life Members and NRI/PIO Members shall be transferred in a separate Bank Account opened on account of Corpus Fund. The amount received on account of Application fees from the aforesaid Members shall not be covered within the meaning of the Corpus Fund.

(3) Corpus Fund shall be deposited or invested in secured mode.

(4) No Office Bearer of MAP is empowered to use Corpus Fund for expenditure or any other purposes, under any circumstances.

(5) Corpus Fund Certificates neither can be mortgaged nor can Loan be raised against it.

(6)  This provision regarding Corpus Fund cannot be amended or alienated.

(7)  Violation of this clause shall invite action under Indian Penal Code.    

 

4.02 General Fund:

All money received except on account of Corpus Fund, shall constitute the General Fund;

 

5.         Map Organisation at the Grass Root Level.

To achieve the aforesaid Objects of the MAP, efforts shall be made to develop and set-up MAP CLUBS at the grass root level:

 

5.1.      MAP CLUBS:

Minimum five person from any profession or activities having faith on the aforesaid Principles and Objectives who are ready to work for such objectives, can form and start a MAP CLUB at the Local Level. A MAP CLUB will develop direct interaction with local people on regular basis through interalia following activities:  

(1)     To show solidarity, CLUB should stand to help for any matter relating to Public Interest at large or injustice to any individual in particular, within their capacity and as much they can do.

(2)     CLUB can run all types of social, religious, cultural, educational, and health related activities as well economical activities to support self-help groups.

(3)     CLUB should show concerns by raising peaceful voice against any corrupt practice adopted by any local authority affecting equal rights of individuals.

(4)     CLUB should take initiative to lodge written complaints before concerned authorities against any type of injustice with the local people.

(5)     CLUB should be registered with the Central Office of the MAP, in conformity to this Constitution and its related Rules and Regulations.

(6)     Subject to provisions under this Constitution, ownership over all receipts (except One Time Application Fee Rs.100/- (Rupees One Hundred) chargeable for Application fee for Membership, and 10% (Ten Percent) out of the other receipts), and on all other moveable or immoveable property relating to respective MAP CLUB shall vest with it, provided it clears all its dues in respect of payments payable to MAP Central Office, without any default.  

 

5.2.      MAP CLUB MEMBERSHIP:

1.     One time Non-Refundable Application fee for Membership of Rs.100/- (Rupees One Hundred), along with respective amount of the Membership fee fixed by the respective MAP Club should be paid along with Two Sets of Application Forms for Membership of each category. 

2.     After due consideration of the Application Form, the Executive Committee of the respective MAP CLUB or National Executive Committee shall accept or reject Application for Membership. In case Application is rejected only the Membership Fee would be refunded.

3.     Central Office of the MAP shall be entitled to receive entire Application Fee money which shall be remitted by the respective MAP CLUB, along with Original Membership Application Form to the MAP Central Office.

4.     The Founder Members of each Club should fix Annual fees independently for its Members at the time of opening of a new MAP CLUB, which could be changed from time to time. 

5.     The 10% (Ten Percent) amount of total collection through Annual Membership Fee by the respective MAP CLUBS shall be remitted to the MAP Central Office, as a mandatory condition.

6.     Such 10% (Ten Percent) amount received by the MAP Central Office from each Club shall be distributed in the following manner:

i)    50% (Fifty Percent) of the aforesaid Collection received from MAP CLUBS within a District should be earmarked or given back to the respective District Chapter.

ii)   30% (Thirty Percent) of the aforesaid Collection received from MAP CLUBS within a State should be earmarked or given back to the respective State Chapter.

            iii)   Rest 20% (Twenty Percent) of the aforesaid Collection received from MAP CLUBS, will be kept by MAP Central Office for its own use to meet its expenditures.

7.   MAP CLUBS and Chapters are eligible to raise and collect additional funds to meet expenses locally as and when required.

 

5.3.                  Seizure of Membership of MAP CLUB:

(1)         Whenever a Member becomes inactive or is charge sheeted or convicted in any criminal case or his/her Honesty becomes doubtful, or defaults in Payment of Membership to his MAP CLUB one month prior to the date of election for the President of respective MAP CLUB, he/she will loose his Membership.

(2)         The Credential Committee of the MAP, in accordance with dispute resolution policy, should settle dispute between a Member and MAP CLUB in respect of Membership issue. 

(3)         When any Member does not participate in Voting Process for consecutive Two Terms, his Membership will seize automatically.

(4)         When any MAP CLUB Member stands to contest an election to Parliament or State Assembly or for Local Self-Government, his Membership shall be seized automatically.   

 

5.4.       Election of President and Executive Committee of Each MAP CLUB:

(1)  In the last quarter of the Financial Year, i.e. beginning on 1st January in the Election Year, election for the following Office Bearers shall be held in each MAP CLUB:

(a)  President

(b)  Six Members representing MAP CLUB Members

(c)  Two Members elected by MAP Ordinary Members resident from the respective CLUB area representing Central MAP Organisation in the MAP Club.

(d)  Two Members elected by MAP Life Members resident from the respective CLUB area representing Central MAP Organisation in the MAP Club.

(2) Election shall be held for a Two-Year-Term, through secret Ballot which must be cast by at least 51% (Fifty One Percent) of the total Member strength.

(3) In case, more than two candidates stand to contest the election of the President or Membership of the Executive Committee, subsequent fresh contests will be held amongst the two candidates who get the highest Votes in the first Voting.

(4) Election Process shall start two Months prior to the date of expiring of the term of the Outgoing Executive Committee.

(5) MAP CLUB MEMBERS would be eligible to contest for the Office of the President or the Membership of the Executive Committee of respective MAP CLUB, provided he fulfills the following criteria:

(a)    He has not been charge-sheeted or convicted in any criminal case.

(b)    His Honesty is beyond any doubt.

(c)    He is not a defaulter in Payment of his Membership to the MAP CLUB one month prior to the date of election.

(6) First Election for each MAP CLUB should be held within one year from the date of its registration with the MAP Central Office, or thereafter on or before the next 31st March.

(7) From time to time the National Council of MAP, with or without amendments shall issue detail Election Rules and Regulations for MAPCLUBS.

 

5.5.      Election of the Delegates from the MAP CLUBS:-

Following numbers of delegates including Presidents of each MAP CLUB shall Vote for the election of the Executive Committee of District Chapter as per the following sliding scale:

Up to 25 members of a MAP CLUB                                    -           1 delegate

26 to 100 members of a MAPCLUB                                   -           1 delegate        

For each additional 100 Members or part thereof              -           1 delegate

 

5.6.      Election of the Executive Committee of the District Chapter by the Delegates:

With the gradual development of its activities leading to the increase in sufficient number of MAP Clubs in a District, with prior permission of the National Council of MAP, a District Chapter may be started with the elected Executive Committee of the District Chapter in the respective District:-  

1.   The Delegates elected by all the MAP CLUBS, Ordinary MAP Members and Life Members resident in the area of a District shall elect the following Office Bearers of the Executive Committee of a District Chapter for a two-year term:

(1)     President;

(2)     6 (Six) Members of Executive Committee elected by the delegates of MAP CLUBS in a District;

(3)     Up to 5 (five) Members for the Executive Committee may be elected by the MAP Members other than MAP CLUB Members, if they are residents of the respective District

2.  Election for the President and members of the Executive Committee of a District shall be held for a Two-Year-Term, through secret Ballot which must be cast by at least 51% (Fifty One Percent) of the total strength of the Voters.

3. In case, more than two candidates stand to contest the election of the President or Membership of the Executive Committee of a District, subsequent fresh contests will be held amongst the two candidates who get the highest Votes in the first Voting.

 

5.7              Election of the Executive Committee(s) of the State Chapters:

With the gradual development of its activities leading to the increase in sufficient number of District Chapters, with prior permission of the National Council of MAP, a State Chapter may be started with the elected Executive Committee of the State Chapter in the respective State:-

1.   All the President(s); Members of Executive Committee(s): Members for the Executive

Committee elected by the Ordinary MAP Members and Members for the Executive Committee elected by the LIFE MAP Members resident of the all the District of a State shall form a Collegiums to elect State Chapter for a Two Years Terms. The Collegiums shall elect following Office Bearers of the Executive Committee of a State Chapter:

(1)     President;

(2)     6 (Six) Members of Executive Committee elected by the delegates of MAPCLUBS in a State;

(3)     Up to 5 (five) Members for the Executive Committee may be elected by the MAP Members other than MAP CLUB Members, if they are permanent resident of the respective State:

2. Election for the President and members of the Executive Committee of a State Chapter shall be held for a Two-Year-Term, through secret Ballot which must be cast by at least 51% (Fifty One Percent) of the total strength of the Voters.

3. In case, more than two candidates stand to contest the election of the President or Membership of the Executive Committee of a State Chapter, subsequent fresh contests will be held amongst the two candidates who get the highest Votes in the first Voting. 

 

6.         BAR AGAINST MAP Members for taking part in contesting Election to Parliament or State Assemblies, to contests or hold any office of the National Council: 

Till the object of the formation of the MAP does not take place in complete conformity to the basic principles laid down as aforesaid, if any category of the Member stands for Election to Parliament or any State Assembly, he cannot hold any office in the National Council of the MAP. In violation of this provision, if any one stands for any of such election, he shall automatically cease to hold any such Office, and will be deemed to have been removed with the immediate effect from the date and time of filing of Nomination Papers, and no one in the organisation can restore the same.

 

7.         General Body shall consist of the Members of the National Council of MAP:

(1)   All the Executive Committee Members of the State Chapters shall be members of the National Council of MAP, besides the following other Members:-

i.       All the Ex-National Presidents (lifelong);

ii.   All the Founder Members whose signatures are affixed under the Memorandum of Association of the Movement for Accountability to Public (MAP).

iii.    As far as possible, there shall be uniformity in the scale of representation in proportion to the total number of members in the respective category. They shall be elected by the respective category of the membership collegium, through respective constituencies, consisting of the Patron Members, Life Members, Associated Life Members, Ordinary Members and NRI/PIO Members. Maximum number of such representatives shall be 150. The Election process for these representative members, time to time, shall be decided and adopted by the National Council of the MAP, based on the uniformity in the scale of representation; and 

vi.   National President can invite one Member each from the respective State, wherefrom no State Chapters have come up. National President will have the discretion to replace any invited Member, if deemed necessary.

v. All the members admitted, enlisted till 2 month prior to the Next Election for the National Council, under all the categories, shall constitute the First General Body of the National Council of MAP. The National Council shall be the General Body.

 

8.         FUNCTION of the National Council (General Body) of MAP

1.       Subject to the Constitution, the National Council will be the main policymaking body of MAP ORGANISATION.

2.      The National Council will discuss and approve annual budget and accounts, prepared by the National Executive Committee.

3.      National Council shall appoint Auditors to Audit the Accounts of the Organisations and submit his report.

4.        National Council shall meet at least once a year, at the place, on the date and time as decided by the Executive Committee from time to time. In this respect a Notice shall be posted through Emails at least 21 days in advance, to all the Members of the National Council of Map.

5.      The National President in consultation with the Executive Committee will appoint the Director-General for a term of two years, which may be renewed as and when required.

6.      To appoint Director-General of MAP and decide its terms and other conditions.

7.      To decide a Policy to appoint required staff.

8.      Director-General will carry on MAP work on a day-to-day basis under the direct guidance of the National President of MAP. The Director-General will also be the Ex-Officio Secretary of the Executive Committee as well as of the National Council and will be responsible for communications with all members of the National Council, Executive Committee, MAP Members, NRI Members and Delegate Members and with all others who may be interested in the activities of the MAP, as and when necessary. He will also be required to effectively implement the decisions taken in the National Executive Committee and report periodically on the activities of the MAP and assist the National President in achieving the objectives of the MAP.

9.      In conformity with other provisions referred to in this Constitution, National Council will advice the National President to take any decision and to act accordingly in the interest of or with the object to achieve the Objectives referred to above.

 

9.         Collegiums to Elect the National President:

(1) All Patron Members, Life Members, Associated Life Members, NRI/PIO Members and the Ordinary Members and also the Presidents and other Members of the Executive Committees of all the State Chapters, wherever State Chapters are set-up 2 months prior to the date of Election of the National President, shall constitutes a Collegiums to elect the National President.

(2) Collegiums of the Voters to Elect National President of the MAP Organisation, can chose the Voting Methods with the option of even to chose the Electronic/Internet mode. For this purpose detailed guidelines shall be issued by the National Council in due course of time, once the Membership exceeds 500.

 

10.       National President of MAP:

(1)  Elections of the National President shall be held in the 2nd quarter beginning on 1st July in the Election Year, for a term of three years.

(2)  The sitting National President shall be eligible for re-election.

(3) Only the members of the National Council shall be illegible to contest for the Post of the National President.

(4)  Whenever, more than one candidates are in the fray to contest for the post of National President, the Collegiums shall elect only with the active majority of 51% of the Total Strength of the Member’s of the Collegiums in the first round, failing which another round of voting will take place between those two candidates, who get highest votes in the first round and thereafter the one getting the simple majority shall be declared elected.

(5)  After the registration of the MAP Organization, the next Election for the National President shall be held within 3 (Three) years from the date of its Registration. 

(6)  National President will lead all deputations and delegations on behalf of MAP Organisation. He will provide overall leadership to National Council and help the Executive Committee in convening the National Council as General Body and Conventions and meetings of the Executive Committee of National Level.  

(7) National President will be the Chief Executive Officer of the MAP. He will be responsible for planning and execution of programs and activities of MAP and liaison with other organizations engaged in similar activities. He will collect and present the Reports of the State Chapters of the organization to the National Council.

(8) The Founder National President shall hold the office of the National President for the normal term of three years unless and until he decides to call for an early election.

   

11.       NATIONAL EXECUTIVE COMMITTEE OF MAP

(1) The Executive Committee of MAP at the National level shall be constituted by the National President. Care will be taken to keep the following in mind while constituting the Executive Committee:

(a) Five Vice Presidents

(b) Five General Secretaries,

(c) 10 (Ten) other Members,

(d) Treasurer.

(2) President may decide the level of their seniority, as and when required.

(3) The Executive Committee will prepare annual budgets and accounts and present them to the National Council for approval.

(4) The Director-General of MAP, if appointed, under the direct guidance of National President shall carry on day to day working of MAP and will assist the President in the due discharge .

(5) The Executive Committee members will look after the Map activities, if assigned to them from time to time by the National President.

(6) The Notice for meeting of the Executive Committee will be issued to all the members of Executive Committee, through Email in advance and in accordance with the requirements / urgency of the matter.

(7) A member can place his views / objections on any agenda, if he is against a particular agenda Item, and in such case, even if he is physically not present, his Vote shall be considered and taken in account for / against the aforesaid agenda item, as the case may be.

(8) However, the President shall have the discretion to drop any member from the Executive Committee or include any fresh Member in the middle of the term, without assigning any reason thereof.  

(10)       That the Members of the First National Executive Committee shall be described in future as Founder Members of the MAP.

(11)      That the maximum number of the Members of the National Executive Committee, would generally be 27 and minimum 11 Members including the National President. However, these limits are flexible in nature.

(12)      The National President Shri Milap Choraria is hereby authorized to take all necessary steps to arrange the registration of MAP under the Societies Registration Act, as applicable to the National Capital territory of Delhi, and shall sign all the necessary documents in this behalf.

 

12.       Dispute Resolution Policy

(1) In conformity with this Rules and Regulation a separate detailed Byelaws, Rules, Election Procedures and Rules for elections of the Delegates of the MAP Clubs, District Chapters and State Chapters shall be framed and issued by the National Council which will be binding for the Elections of the MAP Clubs, District Chapters and State Chapters.

(2) Detailed guidelines and Rules to assist in the administrative Matters of MAP Organisation, MAP Club’s activities, separate Councils, Advisory Councils, and Credentials Committee and for Secretariat to be framed and issued, by the National Council.

(3) A dispute Policy will be framed to settle all disputes amongst Members of a MAP Club, amongst Two or More MAP Clubs and/or between District or State Chapter and a MAP CLUB or likewise. The Dispute Resolution Policy will be binding upon all MAP MEMBERS of all categories, MAP CLUBS District and State Chapters and for MAP Clubs activities.

(4) To frame Dispute Resolution Policy a Team of experts will be appointed by the Executive Committee and after receipt of its recommendations, it shall be placed before the National Council, and after due consideration with or without any amendments shall be approved, passed and adopted, which will be binding on all the members.

 

13.       Existing NGO’s eligible to start MAP CLUBS.

Subject to Purpose, Object and Principles laid down as aforesaid and with prior written permission from the National President of the MAP, any Non-Political, Non-Government Organisation can establish a MAP CLUB in its area of working with the terms, conditions and privileges settled between the MAP and the respective NGO. After approval by the National Council the representatives from all such other NGOs who also join the MAP network, could also be co-opted as additional Members.   

 

14.       AMENDMENTS:

(1)      The amendments (except in the provisions regarding Corpus Fund), can be made without deviating or abridging the Basic Objects of the MAP referred to above, if approved with the two-third (2/3) majority of the members of the National Council.

(2)        The amendment proposal may be initiated by the Executive Committee or by twenty-five (25) members of the National Council of the MAP. The proposed amendments shall be submitted in writing to the Executive Committee at least 60 days in advance of the National Council meeting at which they are to be considered. Whether the amendments originate with the voting members or the Executive Committee, the Executive committee shall circulate them to all the members of the National Council along with their own recommendations in advance of the National Council meeting at which they are to be considered, and in similar manner at least 30 days in advance of the National General Body meeting, at which the proposed amendments shall be considered.

 

15.       Quorum

For the Meetings of the Executive Committee and or of the National Council, 25% (twenty five percentage) of the total strength is required either by physical presence or through online attendance to form the Quorum. In the absence of the Quorum, the meeting shall be postponed for one hour after that all those who are present including online attendance at the same place shall form the Quorum and the business of the meeting shall be carried out and the decisions taken in such manner and meeting shall be deemed to be fully valid.

 

16.       Register of Members and Closure of the Membership Register.

(1) separate Registers shall be maintained for each category of the Members;

(2) During the Election year, the Membership Register shall be closed two months prior to the date fixed for the respective Election of the MAP CLUBS and MAP and would reopen after closure of the election process.

(3) At the time of Closure of the Registers of the Members, those enlisted in the respective Register shall be entitled to exercise their voting rights subject to this Rules and Regulations;    

 

17.      DISSOLUTION:

The MAP may be dissolved with the approval of the three-fourths majority of the National Council members at an extra-ordinary general meeting specially called for this purpose. In the case of dissolution, the National Council shall donate the net assets of the MAP to an organization whose objects are similar to the objectives of the MAP, after refunding the amount of memberships received from the Patron Members, Life Members, Associated Life Members and NRI/PIO Members on account of Life Membership. At the time of refund of such amount any Patron Member, Life Member, Associated Life Member and NRI/PIO Member, will not have any claim whatsoever on account of interest and or application fee paid at the time of application of their membership.
